Terms & Conditions
Scope
These General Terms and Conditions apply to all services of Novalize Agency (hereinafter referred to as Novalize) with headquarters at Junesco Evaluation Conseil & Formation SA, Optingenstrasse 53, 3013 Bern, Switzerland.
Service Agreement and Payment
Service agreements must be formalized in writing. Agreement to our services obliges you to pay the agreed fees. Payment terms will be specified in the service agreement. Non-payment of fees does not constitute cancellation of services.
Service Delivery
For organizational reasons, we reserve the right to adjust project timelines, reassign resources when necessary, or modify the delivery method of our services while maintaining the agreed-upon quality standards.
Project Execution
In order to deliver Novalize services under optimal conditions, we establish clear project scopes and deliverables for each service offering. Projects will be initiated upon receipt of signed agreements and initial payments as specified in the service contract.
Contract Termination
Novalize reserves the right to terminate service agreements for good cause, including but not limited to: Non-payment of fees, serious misconduct by the client (e.g., defamation, harassment, deliberate intellectual property violations, etc.). If a contract is terminated due to any aforementioned cases, no refund will be issued for services rendered.
Cancellation
Each service agreement is binding. Cancellations must be sent in writing to Novalize Agency, Junesco Evaluation Conseil & Formation SA, Optingenstrasse 53, 3013 Bern, Switzerland. The following cancellation terms apply:
- Prior to project initiation: 30% of the total project cost
- During initial project phase: 50% of the total project cost
- Mid-project: 75% of the total project cost
- Final project phase: 100% of the total project cost
Service Completion and Deliverables
Upon project completion, we will provide all agreed-upon deliverables and documentation. Access to relevant platforms and services will be granted as specified in the service agreement.
Disclaimer, Liability and Insurance
Any liability for damages arising from services provided by Novalize is limited to the amount paid for the services. Clients are responsible for ensuring adequate insurance coverage for their business operations.
Data Protection
Novalize will process all client data with utmost care and in accordance with Swiss data protection regulations (FADP). Data will only be shared with external service providers under strict contractual data protection conditions or with law enforcement authorities when legally required.
Price or Service Changes
Service offerings, pricing, and terms and conditions are subject to change at any time. Existing contracts will be honored under their original terms.
Intellectual Property
All intellectual property created during the provision of services remains the property of Novalize until full payment is received, after which specified deliverables become the property of the client as detailed in the service agreement.
Final Provisions
For all legal relations with Novalize, Swiss law is applicable to the exclusion of the conflict of laws standards. Place of jurisdiction is Geneva, Switzerland.
